Article 2 Applicability

We do our best to bring these general terms and conditions to your attention. They state what We do for You and what We expect from You.

These general terms and conditions apply to the offer, sale, and delivery of all Goods and/or services, collectively referred to as "Goods," by BINK (also referred to as "We") to the Customer (also referred to as "You").

Placing an order, whether on our website www.binkwithus.com, by phone, letter, email, or in our showroom, constitutes express acceptance of these general terms and conditions.

BINK explicitly rejects all other sales conditions, including the purchase conditions offered or proposed by the Customer unless these are expressly accepted in writing by BINK.

If, in addition to these general terms and conditions, special additional conditions apply, the above also applies to those special conditions. If our general terms and conditions conflict with those special conditions, you as a Customer can always invoke the most advantageous text in your favor.

The acceptance by BINK of a purchase order and/or the execution of a purchase order by BINK is expressly dependent on the Customer’s agreement to these general terms and conditions. Unless the Customer notifies BINK in writing before the conclusion of the agreement that they do not accept these general terms and conditions, the Customer is deemed to have accepted these general terms and conditions, and notwithstanding any contrary provisions, the acceptance or use of the Goods by the Customer shall be deemed to signify agreement with these general terms and conditions.

BINK reserves the right to modify the general terms and conditions at any time. The applicable version is the one available on the website on the day of the order.

You can always find our general terms and conditions in the footer on our website or obtain them from BINK upon simple request. With each order, we will provide you with an order confirmation containing a link to these general terms and conditions. We recommend that you always read them. To avoid misunderstandings, we expressly ask you to accept our general terms and conditions with each online order.

Our transactions are exclusively governed by Belgian regulations.

Each Customer has the option to choose from multiple languages on our website for processing their order. The language the Customer prefers will be used for processing the transaction.

The general terms and conditions drafted in Dutch shall always prevail over all other language versions.

Article 3 Who can order online?

The webshop www.binkwithus.com is aimed at professionals, i.e. individuals, companies, legal entities (or their branches) and liberal professions who use the purchased Goods within the framework of their professional activities.

Those who visit our website as "consumers" within the meaning of Article 1.7 of the Trade Practices Act of July 14, 1991, i.e. physical persons and legal entities wishing to purchase or use the Goods for private use, may occasionally place an order online. However, We ask special attention to the consumer for the differences with a B2C webshop as for example the indication of prices excluding VAT. We recommend that you carefully read the general sales conditions applicable to the webshop www.binkwithus.com.

To place an order, You must be at least 18 years old. If We notice that an order has been placed by a minor, We may refuse this order.

Article 4 Our offer

BINK offers a very wide range of professional window displays and store fixtures. We always describe as completely and accurately as possible what We sell and how the ordering process will proceed. In any case, the product description is sufficiently detailed to allow the Customer to make a proper assessment. If We use images, they are a true representation of the Goods offered.

We guarantee that our Goods conform to your order and meet the normal expectations You may have of them taking into account the specifications of the product.

However, to err is human. Should an error have crept into the product description or picture of an Article, We cannot be held liable. In this case the Customer may withdraw from the purchase agreement free of charge.

Article 5 The Price

Prices are quoted in euros unless otherwise stated on the invoice. Our prices are based on the Incoterm Ex Works Wielsbeke unless stated otherwise on the order confirmation or invoice.

We strive to ensure that the listed price of each product is accurate. BINK cannot be held responsible for typographical or printing errors on the webshop or in any of our brochures or price lists.

Since we target professional customers and allow transactions across borders, all our prices are exclusive of VAT and any other charges listed on the webshop.

Goods are subject to the standard Belgian VAT of 21%. Orders are settled including VAT unless it concerns a shipment outside the EU or customers with a valid European VAT number who meet the conditions for intra-Community delivery. In such cases, where an exemption rule applies, the Customer is not liable for VAT. If you order as a consumer or non-VAT liable party and request the Goods to be delivered in an EU country outside Belgium, we apply the OSS VAT regime and charge the applicable VAT percentage of the delivery country.

Article 6 Ordering = entering into an agreement

At BINK, you can order online via our webshop www.binkwithus.com or through various marketplaces where we advertise. It is also possible to order simply by email or in person at our showroom.

An order between business parties is considered a definitive agreement, whereby the Goods can no longer be canceled without cost by the Customer. In this case, the Customer is liable for a fixed compensation of 30% of the order value including VAT.

If you order as a consumer, you can invoke the right of withdrawal. For this, we refer to Article 10 of these general terms and conditions.

When you place an online order at www.binkwithus.com, you will receive an automatic order confirmation by email. If you have not received this after sending your order, something technical went wrong, and we ask you to contact us.

Online orders are always accepted by BINK under reservation and are executed as quickly as possible according to our capabilities. In our continuous pursuit of 100% customer satisfaction, each online order is thoroughly reviewed by our staff. Should a problem arise, you will be notified no later than the next working day.

The Goods are sold and deemed accepted at our registered office in Wielsbeke, regardless of the place, manner, or conditions of delivery.

Article 7 Payment methods & terms

Payments, refunds, and invoicing are always conducted in euros unless the order confirmation or invoice specifies another currency.

7.1 ONLINE PAYMENT

On the webshop www.binkswithus.com, we offer the option to checkout immediately. This ensures that your order is processed immediately and you receive the Goods as quickly as possible. For online payments, BINK directs you to the secure platform of Worldline. Here you can select the payment method of your choice. Your financial details are processed securely thanks to an encryption system. Please note that once the transaction is approved, Worldline will immediately debit the amount due from your linked payment account or payment card.

You can choose from the following payment methods:

  • Bancontact - Ideal
  • Cartes Bancaires
  • Bank Transfer by Worldline
  • Visa - Mastercard - Maestro
  • Gpay - Applepay 
  • PayPal
  • Bank Transfer (choice if you prefer not to settle online)

At this final stage of the order, the Customer can still cancel the purchase by not clicking on the “process checkout” button.

If the issuer of your card refuses to authorize your payment to BINK, we cannot be held responsible for delays in delivery and/or non-delivery of your order. Orders without valid payment in the name of the registered cardholder will not be accepted or processed.

7.2 PAYMENT UPON PICKUP OF GOODS

If you prefer to pick up the ordered Goods at our warehouse in Wielsbeke, you can pay upon pickup (cash / bank card / credit card). Ordered Goods are typically available for pickup within 2 weeks after ordering unless a later pickup date is explicitly mentioned when submitting the order and accepted in our order confirmation.

To ensure a smooth pickup of the Goods, we request that you schedule an appointment in advance. This can be done by entering the desired pickup date as the “delivery date” and checking the “customer pickup order” box in the shipping policy field. You can also always contact our customer service.

7.3 PAYMENT BY BANK TRANSFER

When choosing this payment method, the order is placed, and you receive a confirmation email with our bank details, requesting you to make the payment by bank transfer as soon as possible. Note that choosing this payment method may cause a slight delay in delivery. The online delivery period only starts after receiving your payment in our account.

If you still have a question or if something is unclear, please contact us or choose this payment option and include your question in the “comments” field. We will respond promptly with an appropriate answer or contact you by phone if necessary to clarify something.

7.4 PAYMENT ON ACCOUNT

This option is only offered to customers who have been pre-registered and for whom a specific payment term has been agreed upon. By choosing this payment option, the order is placed without requiring prepayment. Following your order, you will receive an invoice by email upon delivery of the Goods for payment.

7.5 REFUND

Refunds are always made in the currency in which the initial payment was made. If a currency other than euros is used in your country, we are not responsible for any exchange rate fluctuations that may occur between the time of payment and the time of refund.

Article 8 Delivery

8.1 DELIVERY TIME

By delivery time, we mean the time required from the order to the day of physical delivery to the Customer of the ordered goods.

When placing an order on our webshop, the earliest possible delivery date is suggested in the “delivery date” field. If desired, you can change this to a later date. If not all items are in stock, you also have the option to have the ordered Goods delivered in two shipments.

If you place an order by email/phone or in our showroom, you will receive an order confirmation after processing your order, stating the agreed and/or earliest possible delivery date.

We strive to dispatch all in-stock orders by the next working day at the latest unless the Customer has requested a later delivery.

We do our best to accurately indicate the stock status and/or expected delivery time on our webshop. This delivery date is indicative and should be considered as the best possible estimate, as we also depend on various external factors such as transport. BINK cannot be held responsible for any damage resulting from delivery delays.

In the event that we are unable to dispatch the ordered Goods on time, you will be notified via our portal. We recommend that you regularly log into your account on our webshop to check the expected delivery date of your order.

A reasonable change in the delivery time cannot be used as a reason to cancel the order free of charge. However, if something goes seriously wrong and you are not notified in time, you can cancel your order free of charge. In that case, we will refund you, in the event of prepayment, no later than 7 days after the cancellation. However, this situation can never be grounds for demanding a discount on the price or claiming compensation.

8.2 SHIPPING COSTS

BINK delivers worldwide. For most European countries, shipping costs are calculated online, and you can check out immediately. We strive to package everything as efficiently as possible, but above all, transport-safe. Smaller displays are shipped together in one larger shipping box. You can find the complete list of our current shipping costs via the “shipping and delivery” link in the footer of our website.

If you want a package delivered to a country where our webshop cannot calculate the shipping costs online, you will have the option to send the contents of your shopping cart as a quote request. You will receive a quote including the shipping costs from us within one working day.

Please note, in the case of deliveries outside the EU, you as the Customer may be charged import duties and taxes. Import duties and taxes are always at your expense and are not included in the aforementioned shipping costs.

8.3 DELIVERY & SIGNING FOR RECEIPT

Delivery means the delivery of the ordered Goods by a carrier or courier service mandated by BINK, to the ground floor.

The method of transport, shipping, packaging, etc., is determined by BINK unless specific specifications are mentioned by the Customer. We preferably use the following experienced logistics partners:

  • GLS
  • DACHSER
  • FEDEX

Delivery is made through direct delivery of a product to the Customer, often against signature for receipt.

The Customer is expected to accept the Goods as soon as they are offered at the delivery address. We are forced to charge any additional delivery costs or damage suffered by BINK due to an unjustified refusal of an ordered product (or part thereof), including storage costs, to the Customer.

The shipments we organize are at our risk of loss and are covered by a CMR insurance. You don't have to worry about Goods being lost during transport.

We explicitly ask the Customer to immediately check upon receipt of the Goods whether the delivered Goods match the packing slip and if there is no visible damage. If everything looks fine, we recommend that you still sign with the note “subject to inspection.” Only with this clause will the carrier be willing to open an insurance file in case of non-visible damage.

If the packaging is visibly damaged, it is important to always note this when signing, e.g., box dented, torn + subject to further inspection. In this case, we recommend that you first open the box and inspect the contents before signing. In case of serious damage, it is better to refuse the package immediately.

We also emphasize that in case of damage, you should keep the packaging well and take the following clear photos:

  • condition in which the box arrived, even if no damage is visible
  • photo of the shipping label attached to the packaging
  • photo of the box print with item reference, etc.
  • photos during unpacking of the damaged product parts
  • clear photos detailing the damage and clarifying where the damage is located, e.g., on the leg of the mannequin or on the back

In case of damage, please inform us within 3 working days by email at [email protected]. Please include clear photos immediately. After all, we must be able to file a dossier with our logistics partner within 5 working days if we want to claim the CMR insurance. In the absence of this, the Customer is deemed to have approved the contents of the shipment, and no complaint file can be opened with the insurance. In this case, we reserve the right not to intervene. 

8.4 NO ONE PRESENT AT DELIVERY

If no one is present at the specified delivery address at the time of delivery, your package will first be offered to one of the neighbors or delivered to a parcel shop if it concerns a parcel shipment. A note will be left in the mailbox or you will receive an email from the carrier with the necessary information. This allows you to schedule a new delivery or change the delivery address. Please note that a second delivery attempt is often not free and can take place at the earliest on the next working day.

If the order is refused by the Customer upon delivery by BINK or its appointed carrier without a valid reason, BINK is entitled, at its discretion, to act as if the agreement has been canceled by the Customer or to demand fulfillment of the agreement and to charge any additional costs (second delivery, storage costs).

8.5 SOME RULES

When you as a Customer place an order and choose to pick up your order at our warehouses, you are expected to collect it within a period of 2 weeks unless otherwise agreed in writing. This period starts from the moment all ordered Goods are ready in our warehouse. We will send you an email once your order is complete and ready for pickup.

When you as a Customer place an order and choose to have your order delivered, we expect payment before the order is shipped unless otherwise agreed in writing. Your order will be reserved for you for 1 week while awaiting payment. This period starts on the date you received an order confirmation. We will also send you an email once your order is complete and ready for shipment.

If you do not collect your order or do not pay within the specified period, BINK is entitled, at its discretion, to act as if the agreement has been canceled by the Customer or to demand compliance with the agreement and charge any additional costs.

Article 9 Retention of title

The delivered Goods remain the exclusive property of BINK until full payment of the invoices. However, the risk of loss or damage passes to the Customer upon delivery. The Customer undertakes to inform third parties about BINK's retention of title if necessary, for example, anyone who might seize the Goods that have not yet been fully paid for.

Article 10 Right of withdrawal – return

At BINK, we aim for 100% customer satisfaction. Not entirely satisfied with your purchase? Please let us know as soon as possible. We’ll gladly work with you to find a suitable solution. We handle your request within two working days.

10.1 BUSINESS CUSTOMERS

For business customers, returns are usually possible provided that:

  • The return is reported within 3 working days after receiving the goods.
  • All return conditions are met.

⚠️ Please note: return shipping costs are always the responsibility of the customer.

You can request a return by logging into our website. Go to “Orders” in your profile and select the order that includes the item you want to return. Then follow step 5 below: Return procedure.

10.2 CONSUMERS

If you place an online order as a consumer via www.binkwithus.com, the European right of withdrawal applies. You may return or exchange your purchase within 14 calendar days of receipt, without giving a reason. The period starts the day after delivery.

👉 You are not required to provide a reason, but we appreciate feedback to help improve our service.

⚠️ Please note: return shipping costs are also the customer’s responsibility.

Please follow the same steps via your profile on our website and read on under point 5.

10.3 RETURN CONDITIONS

To be eligible for return, your item must meet all of the following conditions:

  • Complete (including all accessories).
  • Undamaged, unused, and in the original, undamaged packaging.
  • Only inspected in the same way you would in a physical store.
  • The return shipment must reach us within 10 working days after receiving the return document.

If these conditions are not met, your return may be refused.

10.4 EXCEPTIONS

The following items cannot be returned:

  • Custom-made or personalised items (such as tailor busts or products in a specific colour or with a logo).
10.5 PROCEDURE TO FOLLOW
  1. Log in at www.binkwithus.com.
  2. Go to your profile and click on “Orders”.
  3. Select the relevant order and click on “Return” next to the desired product.
  4. Follow the steps in the return request form.

In case of damage, please provide the following photos:

  • The condition of the box upon arrival (even if no visible damage is present).
  • The shipping label on the package.
  • Damaged parts as found during unpacking.
  • Close-up photos that clearly show and identify the damage (e.g. damage to the leg of a mannequin).

Once we receive your return request, we’ll inform you of the next steps as soon as possible. If a return is required, you will receive a return document by email to include in the shipment.

10.6 IMPORTANT NOTES
  • Return shipments are always at the customer’s own risk and expense.
  • BINK cannot be held liable for loss or damage during return shipping.
  • For returns sent from outside the EU: always use a courier service (e.g. UPS, FEDEX, DHL,...) that also handles customs clearance.

When your return arrives at our warehouse, we will check whether the items meet the return conditions. If everything is in order, the full product value will be refunded.

If your return is refused:

  • You remain the owner of the item.
  • You have 2 weeks to collect it or have it returned at your own expense.
  • After 2 weeks, the item may be destroyed. You will be notified by email.

Article 11 Default in payment

In case of non-payment of the entire invoice or a part thereof, the outstanding amount shall be increased by operation of law and without any notice of default being required, with an annual interest rate of 12% and a flat-rate compensation of 10%, with a minimum of 20 EUR. This compensation is due to reimburse BINK for all its extrajudicial costs, time loss, and administrative expenses.

Any non-payment entails the immediate enforceability of all outstanding invoices and gives BINK the right, after notice of default, to either suspend any future deliveries or dissolve the agreement, without prejudice to the right to compensation.

If BINK must call upon a lawyer for the collection of invoices or in connection with any other dispute, it is agreed that the fees and expenses of this lawyer will be borne by the party found to be at fault.

Article 12 Conformity and warranty

BINK ensures that the Goods and/or services comply with the agreement, the specifications mentioned in the quotation, the reasonable requirements of soundness and/or usability, and the legal provisions and/or government regulations existing on the date of conclusion of the agreement.

All our Goods come with a standard 12-month warranty for hidden defects, except consumables. Warranty for visible defects is excluded from acceptance of the Goods, namely 3 working days after receipt of the goods. The warranty is limited to repair or replacement with equivalent Goods.

During the warranty period:
If a complaint is justified, all costs for exchanging or repairing Goods are borne by BINK.

Outside the warranty period:
For repairs falling outside the warranty period, charges will apply. We will inform you of these charges in advance.

Justified complaint:
The complaint is justified if it is not caused by:

  • deliberate damage or negligence.
  • normal wear and tear and/or damage due to failure to (properly) observe the instructions for use.

Article 13 Complaints procedure and disputes

We always hope that all our customers are 100% satisfied. If you have complaints about our services, we would like to hear about it so we can work together on a suitable solution.

Complaints regarding non-conformity or visible damage detected upon delivery must be reported to us in writing within 3 working days after receipt of the Goods. Read more about this under Article 8 Delivery. After this period, the Goods are deemed to have been approved. Packaging materials must be retained for any inspection or return of the Goods.

All agreements we enter into with our customers, regardless of their place of residence, are exclusively subject to Belgian law, and in the event of disputes, only Belgian courts have jurisdiction. The Vienna Sales Convention is expressly excluded.

Article 14 Intellectual Property

Our website, logos, texts, photos, names, and in general all our communication are protected by intellectual property rights, which belong either to us, our suppliers, or other rights holders.

It is prohibited to use and/or modify the intellectual property rights as described in this article. For example, drawings, photos, texts, logos, etc. may not be copied or reproduced without our prior and express written permission.
All intellectual property rights arising from or related to the Goods are the exclusive property of BINK, even if it concerns Goods developed at the specific request of the Customer.

BINK has not verified the possible existence of intellectual property rights of third parties that could be infringed as a result of the sale and/or delivery of the Goods. Consequently, BINK cannot be held liable for any possible infringement of the intellectual property rights of third parties resulting from the sale and/or delivery of the Goods.

The sale of Goods does not imply a license under any intellectual property rights relating to the compositions and/or applications of the Goods. The Customer expressly accepts all risks of any infringement of intellectual property rights resulting from the purchase and/or use of the Goods.

Article 15 Confidentiality

Both parties shall treat all confidential information received from the other party in connection with the agreement as confidential and shall not disclose it to any third party without the other party’s prior written consent, unless such disclosure is required by law or by a court of competent jurisdiction.

Article 16 Transfer

The Customer may not transfer any of its rights or obligations under the agreement without the prior written consent of BINK.

BINK is entitled to transfer its rights and obligations to third parties without the Customer’s consent.

Article 17 Waiver of rights

 BINK's failure or delay in enforcing any provision of the Agreement shall not be construed as a waiver of BINK's right to act or enforce such provision.

The waiver of right by BINK in a specific case shall not constitute a waiver with respect to other cases. 

Article 18 Invalid provision

If any provision of these general terms and conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the intention of the original provision.

Article 19 Force majeure

In case of force majeure, BINK is not bound to fulfill its obligations. In that case, BINK can either suspend its obligations for the duration of the force majeure or permanently dissolve the contract. 

Force majeure is any circumstance beyond our will and control that prevents the fulfillment of all or part of our obligations. This includes strikes, fires, business disturbances, energy failures, disturbances in a (telecommunication) network or connection or communication systems used and/or the unavailability of our website at any time, non or non-timely delivery of suppliers or other third parties engaged.
